Byron L. Willeford possesses decades of experience in the area of corporate and securities law. He maintains a broadly-based practice and handles issues including private placements and public offerings; mergers, acquisitions, sale and purchase of business entities; SEC reporting and compliance; and business contracts, among other matters. Mr. Willeford is a former Staff Attorney in the Division of Corporate Finance of the Federal Securities and Exchange Commission in Washington, D.C.  

Significant Matters

We merged three small firms into a new company majority-owned and financed by a large, publicly owned corporation. All of the transactions had challenging business and tax law issues, especially the long-term reciprocal buy-out options tied to complex valuation formulas. There was a great need for creativity and we came through with flying colors. The degree of complexity made the project one of my favorites.
