Profile

As a business lawyer and CPA, Michael Overstreet assists businesses, individuals, and families with business transactions and tax planning. Raised in a small business himself, Michael is passionate about helping clients handle the various business and tax issues that come with owning, operating, and transferring a business. Michael works with owners, executives, tax directors, outside accountants and CPAs, and other advisors to design and tailor efficient solutions to corporate and tax problems.

Michael Overstreet has significant experience with matters related to the formation, governance, reorganization, and internal restructuring of limited liability companies, corporations, partnerships, and professional entities. Michael has assisted numerous clients with restructurings and tax-free reorganizations of their entity structure, including those to facilitate a sale or investment, to minimize taxes, for asset protection, and for succession planning. Michael regularly assists family-owned or closely held businesses in designing and implementing business succession plans and with business divorce, deadlock, and separation matters. Michael also develops, negotiates, and implements business acquisitions and dispositions, mergers, conversions, and recapitalizations.

Representative Experience

  • Represented numerous clients in restructurings and tax-free reorganizations of their entity structure, including (i) some of the largest architectural and engineering firms in the U.S., (ii) major independent restaurant and hospitality groups, (iii) oil and gas industrial equipment manufacturers and suppliers, (iv) healthcare providers, (v) owners and operators of vehicle dealerships, and (vi) a major national retailer of wireless services, devices, and equipment.
  • Represented physicians in restructurings to separate medical practice assets from significant technology assets and other non-practice assets.
  • Designed and developed shareholders' agreements and buy-sell agreements for major professional service providers with large numbers of owner-employees.
  • Designed and developed business succession plans for numerous high-net-worth individuals and families.
  • Served as corporate and tax counsel to estate of deceased owner of commercial services company in matters related to post-death ownership, governance, and sale of company.
  • Represented and served as lead counsel to buyer in acquisition of business that provides electrical services to residential homebuilders and contractors.
  • Represented civil engineering firm that designed offshore oil and gas platforms in sale to multinational corporation.
  • Represented owner and operator of fitness gyms in pre-sale restructuring and sale to private equity firm.
  • Represented regional accounting firm in acquisition of other accounting firms through acquisitive Type C reorganization.
  • Represented numerous professional service providers (including medical practices, architecture and engineering firms, accounting firms, law firms, and wealth management firms) in establishing tax-efficient entity structures and with matters related to new employees and investors and general business matters.
  • Served as corporate and tax counsel to wealthy individuals and families in structuring and implementing family limited partnerships and legacy plans for valuable family-owned properties and assets.
  • Served as corporate and tax counsel to numerous clients in business divorce transactions.
  • Served as corporate and tax counsel to numerous clients in sales of company ownership interests from founders to key employees.
  • Designed and implemented restricted stock plan for multidisciplinary design, architecture, and engineering firm.
