Julia Calnek maintains a combined litigation and transactional practice focused on the oil and gas industry; onshore and offshore construction; and architectural and engineering fields, both domestically and in the international arena. Her blended practice enables her to assist clients in contract negotiations and document preparation related to oil and gas transactions and maritime and onshore construction projects, as well as represent her clients in the resolution of disputes through negotiation, litigation or arbitration. Ms. Calnek also assists clients with international business compliance matters, including Foreign Corrupt Practices Act, Export Compliance, and OFAC Sanctions issues.

Ms. Calnek has broad experience in preparing and negotiating all types of contracts used in the energy sector, ranging from standard master service contracts, charter party contracts, and engineering and consulting contracts, to contracts for major maritime construction projects, such as EPCI & Operations and Management contracts. Ms. Calnek also assists owners, general contractors, subcontractors, engineers and architects in drafting and negotiating construction and design contracts. She also serves as general counsel to an international engineering and marine construction firm.

In addition to her transactional practice, Ms. Calnek successfully helps clients resolve complex commercial and engineering disputes through litigation and arbitration. She advises clients on best practices of developing and maintaining appropriate compliance policies and practices when engaging in international transactions.

Dispute Resolution Representative Matters

  • Prevailed in arbitrating claim for indemnity arising out of the collapse of a drill rig in which client faced potential exposure to personal injury and property damage claims in excess of $25 million
  • Won arbitration involving multimillion dollar claim for pipeline contractor
  • Successfully represented Instrumentation and Electrical contractor in arbitration for claims of non-payment by owner
  • Obtained arbitration award ordering indemnity of claims asserted in Brazilian Court exceeding $200 million
  • Prevailed in arbitrating payment claims associated with pipeline project in Nigeria and defending negligence counterclaims
  • Successfully represented supplier of wind turbine components in breach of contract action
  • Successfully pursued breach of contract claims against Singaporean company for failure to take possession of and pay for marine products, including award of all legal fees
  • Obtained multimillion dollar arbitration award in favor of Jack-up System designer while successfully defeating counterclaims in excess of $28 million
  • Represented marine contractor in SIAC arbitration prevailing on delay claims exceeding $3 million and defeating counterclaims for liquidated and actual damages of over $8 million

Representative Transactional Matters

  • Assisted in successful negotiation of multiple EPCI & Operations Contracts for offshore oil and gas projects valued between $100 million and $2 billion
  • Negotiated $235 million in construction financing agreements on behalf of general contractor
  • Drafting and negotiation of master service agreements for oilfield service providers and engineering firms
  • Preparation and negotiation of construction agreements, including owner/architect agreements, general construction agreements, subcontracts and purchase orders

Representative Compliance Matters

  • Assisted client in internal investigation into allegations of alleged Foreign Corrupt Practices Act violations in Angola and responded to Department of Justice inquiries resulting in declination by DOJ to prosecute affair.
  • Represented client in responding to subpoena issued by “OFAC” to international supply company relating to claimed violations of Iran Sanctions and obtained non-prosecution agreement.
  • Routinely develop business compliance programs for clients and provide in-house training seminars.
