Profile

Nima Farzaneh concentrates his practice primarily on assisting businesses with domestic and international tax planning and corporate matters, including entity formation and governance, finance, reorganizations, mergers and acquisitions.  Mr. Farzaneh also assists clients with federal and state tax controversy matters, including examinations, appeals and trials. 

Mr. Farzaneh is an active member of the Tax Section of the Houston Bar Association and The Garland Walker Inn of Court.

Representative Matters and Transactions

Represented and served as lead counsel to a supplier and manufacturer of electronic devices with U.S. and foreign operations with the tax-free reorganization of its corporate structure, including establishment of foreign and domestic structures.

Represented and served as lead counsel to a real estate development company with ownership in the U.S. and Mexico with the tax-free reorganization of its corporate structure.

Represented and served as lead counsel to an acquirer of equity in Canadian web services company.

Represented and served as lead counsel to an acquirer of equity in Chinese electronics manufacturer.

Represented and served as lead counsel to an angel investor in acquisition of equity in smart phone application developer.

Represented and served as lead counsel to sellers in a $3 million sale of it metal fabrication business.

Represented and served as lead counsel to multiple clients in acquisitions and dispositions of real property, including transactions involving Section 1031 like-kind exchanges.

Represented an acquirer in connection with a $65 million acquisition of fast food restaurants.

Represented a large architecture and engineering services firm with a tax free reorganization of its ownership structure.

Represented multiple private companies and their owners in connection with reorganizations their corporate structures and recapitalization of their equity.

Represented multiple private companies and their owners in connection with structuring incentive arrangements with key employees and succession planning.

Served as tax and corporate counsel to multiple clients with respect to the creation and investment Opportunity Zone Funds.

Served as tax counsel to multiple clients with respect to reorganization of their corporate structure.

Served as tax counsel to multiple clients with respect to mergers and acquisitions, including company sales involving Section 338 or 336(e) elections, advice on transaction structure, and post-closing reporting of transactions.

Served as tax counsel to private companies in connection with resolving civil tax controversies with the U.S. Internal Revenue Service through examination and IRS Appeals.

Served as tax counsel to multiple clients with respect to private equity offerings.

Served as tax counsel to multiple clients on Section 355 spin-offs, split-offs and split-ups.
