Presenter: Joshua A. Sutin
Description: Serving on a nonprofit board comes with real legal responsibility. This session gives directors and staff leadership a practical guide to fiduciary duties, including care, loyalty, and obedience, and how they play out in everyday board decisions. Attorney Joshua Sutin will cover common compliance pitfalls, including conflicts of interest, private inurement, unrelated business income, and reasonable compensation, plus a close look at Form 990: what it reveals to regulators and the public, and how board decisions throughout the year shape that return. Attendees will leave with a clearer understanding of their obligations and practical steps for sound governance.

Description: Every nonprofit today is a data organization that happens to do good. The donor lists, client and beneficiary records, health and education data, images, and program content that power your mission are also your fastest-growing source of legal risk. This session gives nonprofit leaders, board members, and staff a practical map of that risk across four converging areas: intellectual property, privacy, artificial intelligence, and cybersecurity. 

We organize the discussion around the two things every organization does each day: delivering services and raising money. You will learn why the common belief that nonprofits are exempt from privacy law is only half true, and where it can still bite. We will look at the wave of website-tracking and donor-data litigation, the real question of who owns the content your AI tools create, and the ransomware and fraud trends now targeting the sector, all through recent cases and enforcement activity.
