As a member of Chamberlain’s Corporate, Securities & Finance Group, David Pierson's practice primarily involves mergers and acquisitions, dispositions, joint ventures and recapitalizations. Mr. Pierson is also commonly called to advise or assist on a variety of other or related corporate and transactional matters, including business/entity formations, Hart-Scott-Rodino premerger analysis and regulatory filings, equity and debt securities offerings, other strategic transactions and ongoing general corporate governance.

As a CPA and a former senior manager with a “Big Four” accounting firm, David’s M&A and general corporate practice benefits from more than two decades of experience. Mr. Pierson’s unique background and combination of expertise and know-how make him a key member of any deal team, and a trusted advisor to his clients. David is centrally involved in all phases of any M&A deal or other complicated transaction, including structuring, negotiation, implementation, and ongoing post-transaction advice. 

Representative Transactions

  • Represented a buyer in a merger integrating five SEC-registered investment advisers with more than $17 billion in assets under management (and related $115 million credit facility)
  • Assisted owners of a family-owned industrial coatings company in a $60 million sale of capital stock
  • Represented a buyer in its $110 million acquisition of a distributor of steel fittings, flanges and valves
  • Represented a buyer in connection with its acquisition of a beef processing and supply business
  • Coordinated the restructuring of, and preferred equity offering by, a commercial real estate development firm
  • Represented the sellers in a $165 million disposition of their steel pipe and bar distribution business
  • Assisted a registered investment advisory firm in various acquisitions of other investment advisers and wealth management businesses
  • Represented a large investment advisor in a $125 million recapitalization
  • Assisted a Spanish company in a $43 million acquisition of a U.S.-based recycling and fuel blending business
  • Represented a multi-national, publicly-owned, seismic survey company in its reorganization of global assets, subsidiaries and operations
